Welcome to ValueFilter Gutter Installation. The terms “ValueFilter,” “ValueFilter Gutter Installation,” “we,” “us,” and “our” refer to ValueFilter LLC dba ValueFilter Gutter Installation, a South Carolina limited liability company.

We operate this website, online store, quote-request system, scheduling tools, customer communications, product pages, service pages, financing links, and related information, content, features, tools, products, and services in order to provide homeowners, property owners, builders, contractors, and commercial customers with information, estimates, products, installation services, gutter protection solutions, drainage-related services, and related customer support. Collectively, these are referred to as the “Services.”

Our Services may include, without limitation, seamless gutter installation, gutter replacement, gutter guards, gutter protection systems, downspouts, elbows, gutter hangers, sealants, drainage solutions, underground downspout drainage, catch basins, pop-up drains, repair work, cleaning, inspections, estimates, consultations, online purchasing, financing applications, and related exterior water-management services.

Certain portions of our website or online store may be powered by Shopify or other third-party platforms, which enable us to provide online Services to you.

These Terms of Service, together with any policies referenced in them, describe your rights and responsibilities when you visit, interact with, request a quote from, purchase from, schedule with, or otherwise use the Services.

Please read these Terms of Service carefully. They include important information about your legal rights and responsibilities, including warranty disclaimers, limits on liability, customer obligations, project limitations, payment terms, and dispute provisions.

SECTION 1 - ACCESS AND ACCOUNT

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state of residence and that you have the legal authority to enter into these Terms and request, authorize, purchase, or approve the Services.

If you request Services for a property, you represent and warrant that you are the owner of the property or have full legal authority from the property owner to request, approve, and pay for the Services. If you are acting on behalf of a company, trust, association, landlord, builder, property manager, or other entity, you represent and warrant that you have authority to bind that entity.

To use certain Services, including requesting an estimate, scheduling an appointment, purchasing products or services, applying for financing, communicating with us, or creating an account, you may be asked to provide certain information, such as your name, email address, phone number, project address, billing address, payment information, property details, photos, measurements, access instructions, and other relevant project information.

You represent and warrant that all information you provide is true, accurate, current, and complete. You agree to promptly update us if any information changes. We are not responsible for delays, errors, pricing issues, missed appointments, or project problems caused by incomplete, inaccurate, outdated, or misleading information provided by you or on your behalf.

You are solely responsible for maintaining the security of your account credentials and for all activity under your account. You may not transfer, sell, assign, or license your account to any other person.


SECTION 2 - OUR PRODUCTS AND SERVICES

We make every reasonable effort to provide accurate descriptions of our products and services, including gutter systems, gutter guards, materials, finishes, colors, components, specifications, project examples, service descriptions, performance information, and installation-related content. However, all descriptions, images, renderings, diagrams, samples, measurements, colors, and specifications are provided for general informational purposes only and may vary based on property conditions, product availability, manufacturer changes, installation requirements, lighting, photography, screen settings, and field conditions.

Colors, finishes, product appearance, gutter profiles, downspout placement, and other visual details may differ from how they appear on your screen or in samples. We do not guarantee that the appearance or quality of any product, material, finish, color, installation, or service will exactly match online images, renderings, marketing materials, samples, or customer expectations unless expressly stated in a signed written agreement.

All products and services are subject to availability. We reserve the right to modify, substitute, discontinue, or limit any product, service, specification, component, finish, color, or offering at any time, including due to manufacturer changes, supply constraints, material availability, property conditions, safety concerns, code requirements, installation feasibility, or other business reasons.

Our Services are designed to improve exterior water management, roofline drainage, gutter performance, and debris protection when properly installed and maintained. However, every property is different. We do not guarantee that any gutter, gutter guard, drainage, or related system will prevent all water intrusion, standing water, erosion, overflow, ice, pest activity, foundation movement, soil saturation, roof issues, fascia damage, wood rot, mold, mildew, basement or crawlspace moisture, or other property conditions unless a specific written guarantee applies.

Any manufacturer warranties, product warranties, workmanship warranties, clog-free guarantees, service guarantees, or other warranty terms will be governed only by the separate written warranty documents, estimate terms, proposal terms, invoice terms, manufacturer warranty materials, or written guarantee language provided to you. If there is a conflict between a marketing statement and a written warranty or signed project agreement, the written warranty or signed project agreement will control.


SECTION 3 - ESTIMATES, ORDERS, APPROVALS, AND PROJECT SCOPE

When you request an estimate, approve a proposal, place an order, schedule a service, make a deposit, sign an agreement, approve financing, or otherwise authorize work, you are making an offer to purchase products and/or services from ValueFilter Gutter Installation. We reserve the right to accept, decline, modify, or cancel any estimate, order, project, service request, or appointment for any reason at our discretion.

Your order or project is not accepted until ValueFilter Gutter Installation confirms acceptance, which may occur through a signed agreement, written approval, invoice, deposit payment, financing approval, appointment confirmation, or other written confirmation from us.

Estimates are based on the information available at the time they are prepared, including visual inspection, photos, measurements, customer-provided information, satellite measurements, property access, and observable conditions. Estimates may be revised if additional information becomes available, including but not limited to hidden damage, rotten fascia, structural issues, unusual rooflines, unsafe access conditions, grading problems, underground obstructions, existing gutter removal challenges, drainage conflicts, code issues, HOA requirements, permit requirements, material availability, or customer-requested changes.

Unless expressly included in writing, estimates do not include repairs to roofing, fascia, soffit, framing, siding, stucco, masonry, landscaping, irrigation systems, electrical systems, plumbing, underground utilities, drainage systems, pest damage, mold, rot, structural defects, or pre-existing property conditions.

You are responsible for reviewing all estimates, proposals, drawings, photos, renderings, product selections, colors, finishes, quantities, locations, downspout placements, drainage locations, payment terms, warranty terms, and project details before approval. Once approved, changes may require a written change order and may result in additional charges.

We may be unable to accommodate cancellation, refund, or change requests after an order is accepted, materials are ordered, custom work begins, financing is processed, crews are scheduled, or installation has started. Any cancellation, refund, exchange, or credit is subject to our written Refund Policy, cancellation policy, signed agreement, or project-specific terms.

Your purchases and service requests are for your own property or authorized project and may not be made for unauthorized resale, misrepresentation, unlawful use, or improper export.


SECTION 4 - PRICES, PAYMENTS, DEPOSITS, FINANCING, AND BILLING

Prices, discounts, promotions, coupons, financing offers, and special offers are subject to change without notice. The price charged for a product or service will be the price set forth in the applicable estimate, proposal, invoice, order confirmation, financing agreement, or signed project agreement.

Unless otherwise expressly stated in writing, posted prices, website prices, estimate examples, advertisements, and promotional pricing do not include all taxes, permit fees, HOA fees, disposal fees, hidden-condition repairs, change orders, drainage extensions, electrical work, structural repairs, material upgrades, special-order materials, unusual access costs, or additional work outside the approved scope.

Deposits, progress payments, final payments, and financing terms will be stated in the applicable estimate, invoice, proposal, financing documentation, or signed agreement. You agree to pay all amounts due according to the applicable payment schedule. Failure to make timely payment may result in project delay, suspension of work, cancellation of remaining work, late fees, collection activity, lien rights where permitted by law, or other remedies available to us.

If you pay by credit card, debit card, ACH, financing provider, or other electronic payment method, you represent and warrant that:
(i) the payment information you provide is true, correct, and complete;
(ii) you are authorized to use the payment method;
(iii) charges incurred by you will be honored by your financial institution or payment provider; and
(iv) you will pay all charges incurred by you at the agreed prices, including applicable taxes, fees, approved change orders, and other amounts due.

Financing may be offered by independent third-party financing providers. Financing approval, credit decisions, interest rates, promotional terms, monthly payment amounts, repayment obligations, fees, and account servicing are controlled by the financing provider, not ValueFilter Gutter Installation. We do not guarantee financing approval or specific financing terms. You are responsible for reviewing and understanding all financing documents before signing or accepting financing.

Promotional financing statements, low-monthly-payment examples, zero-down examples, or estimated payment amounts are for general marketing purposes only unless confirmed in final financing documents from the financing provider. Your actual terms may vary based on credit approval, lender requirements, project amount, selected plan, and other factors.


SECTION 5 - SCHEDULING, INSTALLATION, MATERIAL DELIVERY, AND PROPERTY ACCESS

All appointment windows, installation dates, project timelines, delivery dates, and completion estimates are estimates only and are not guaranteed unless expressly stated in a signed written agreement. We are not liable for delays caused by weather, storms, supply issues, manufacturer delays, carrier delays, labor availability, equipment issues, safety concerns, property access problems, permitting delays, HOA delays, customer delays, financing delays, hidden conditions, change orders, acts of God, emergencies, or events outside our reasonable control.

You agree to provide safe, clear, and reasonable access to the property on the scheduled service date. This includes, as applicable, access to driveways, gates, exterior walls, rooflines, electrical outlets, water sources, work areas, yards, drainage areas, and any other areas reasonably necessary to perform the Services.

Before we arrive, you are responsible for moving vehicles, furniture, grills, decorations, fragile items, planters, landscaping items, pets, locked gates, and other obstacles away from work areas. We are not responsible for delays or additional costs caused by inaccessible areas, unsafe conditions, blocked work zones, aggressive animals, locked gates, or customer failure to prepare the property.

You are responsible for identifying and disclosing all known underground utilities, irrigation systems, invisible fences, drainage lines, septic systems, low-voltage lighting, buried cables, private utility lines, landscaping features, and other hidden conditions before any digging, trenching, staking, or drainage work begins. Standard public utility locating services may not identify private lines or customer-installed systems. Unless expressly agreed in writing, we are not responsible for damage to unmarked, privately installed, hidden, incorrectly marked, or undisclosed underground items.

For safety and quality control, we may refuse, delay, modify, or stop work if we determine that conditions are unsafe, unsuitable, inaccessible, outside the agreed scope, or likely to cause property damage or personal injury.

Material deliveries may occur before, during, or after scheduled work. Risk of loss for materials may pass as stated in your written agreement, invoice, or applicable law. You agree not to move, use, damage, modify, or dispose of materials delivered for your project without our permission.


SECTION 6 - CUSTOMER RESPONSIBILITIES, PERMITS, HOA APPROVALS, AND PROPERTY CONDITIONS

You are responsible for obtaining any required HOA approvals, architectural review approvals, neighborhood approvals, landlord approvals, tenant approvals, easement permissions, or other private approvals unless we expressly agree in writing to assist with them.

You are responsible for disclosing any rules, restrictions, access limitations, historic-district requirements, building requirements, color restrictions, work-hour limitations, gate codes, parking restrictions, or other property-specific conditions that may affect the Services.

Unless expressly included in the written project scope, we are not responsible for obtaining permits, engineering approvals, surveys, utility approvals, drainage easements, municipal approvals, environmental approvals, or other governmental approvals. If permits or approvals are required and not included in the original scope, additional charges and delays may apply.

You acknowledge that existing property conditions may affect the performance, appearance, or feasibility of gutter systems, gutter guards, drainage systems, and related work. Such conditions may include, without limitation, roof pitch, roof design, drip edge conditions, fascia angle, rotten wood, soft fascia, damaged shingles, irregular framing, settlement, grading, soil conditions, poor drainage, inadequate roof overhangs, existing water intrusion, prior improper installation, roof valleys, high-volume roof areas, second-story discharge, landscaping, concrete, walkways, patios, crawlspaces, and foundation conditions.

We are not responsible for pre-existing conditions, hidden defects, code violations, structural issues, roof defects, water intrusion, mold, mildew, rot, pest damage, or damage caused by prior contractors, prior installations, improper maintenance, storms, wind, ice, falling limbs, animals, customer modifications, or other conditions outside our control.


SECTION 7 - CHANGE ORDERS, HIDDEN CONDITIONS, AND ADDITIONAL WORK

Any work outside the approved scope may require a written or electronic change order and may result in additional charges. Change orders may include, without limitation, added gutter runs, added downspouts, upgraded materials, color changes, fascia repairs, removal of existing systems, drainage extensions, underground pipe, catch basins, pop-up drains, concrete or landscape conflicts, extra labor, special equipment, access issues, disposal, or hidden-condition repairs.

If we discover hidden conditions that make the original scope impractical, unsafe, incomplete, or more expensive, we may pause work and provide revised recommendations, pricing, or options. If you decline necessary additional work, we may complete only the approved portion of the project, modify the project as reasonably necessary, or cancel the remaining work, subject to payment for labor, materials, and services already provided or committed.

Verbal statements made in the field do not modify the written scope unless confirmed by us in writing. Written change orders, text approvals, email approvals, digital approvals, signed approvals, or other written confirmations may be relied upon as authorization for additional work and charges.


SECTION 8 - INTELLECTUAL PROPERTY

Our Services, including but not limited to all trademarks, brands, trade names, logos, slogans, website content, service descriptions, product descriptions, text, displays, images, photographs, diagrams, graphics, videos, audio, reviews, layouts, designs, selection, arrangement, and related materials, are owned by ValueFilter Gutter Installation, its affiliates, licensors, vendors, or service providers and are protected by U.S. and foreign copyright, trademark, patent, trade dress, and other intellectual property laws.

These Terms permit you to use the Services for your personal, household, or authorized business use only. You must not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, scrape, copy, store, transmit, resell, or exploit any material from the Services without our prior written consent.

Except as expressly provided in these Terms, nothing grants you any license or other rights in any patent, trademark, copyright, trade dress, trade secret, or other intellectual property of ValueFilter Gutter Installation, Shopify, or any third party. Unauthorized use of the Services may violate federal and state intellectual property laws. All rights not expressly granted are reserved by ValueFilter Gutter Installation.

ValueFilter, ValueFilter Gutter Installation, ValueFilter LLC, our logos, product names, service names, designs, slogans, and brand materials are trademarks, trade names, or protected brand assets of ValueFilter Gutter Installation or its affiliates or licensors. You may not use them without our prior written permission. Shopify’s name, logo, product and service names, designs, and slogans are trademarks of Shopify. All other names, logos, product and service names, designs, and slogans on the Services are the property of their respective owners.


SECTION 9 - OPTIONAL TOOLS

You may be provided access to tools, calculators, financing links, quote forms, scheduling tools, chat tools, image upload tools, customer portals, payment tools, review tools, or other functionality offered by third parties as part of the Services. We may not monitor, control, or have input over all such tools.

You acknowledge and agree that we provide access to such tools “as is” and “as available” without warranties, representations, conditions, or endorsements of any kind. We shall have no liability arising from or relating to your use of optional third-party tools.

Any use of optional tools offered through the Services is entirely at your own risk and discretion. You should ensure that you understand and approve the terms, privacy practices, and fees of the relevant third-party provider before using such tools.

We may offer new features, tools, resources, integrations, or customer services in the future. Such new features will also be deemed part of the Services and subject to these Terms of Service.


SECTION 10 - THIRD-PARTY LINKS AND PROVIDERS

The Services may contain materials, hyperlinks, embedded content, payment tools, financing tools, scheduling tools, review widgets, social media links, maps, supplier information, manufacturer materials, and other content or functionality provided, operated, or controlled by third parties.

We are not responsible for examining or evaluating the content, accuracy, policies, performance, security, or practices of any third-party materials, websites, providers, or tools you choose to access. If you leave the Services to access third-party materials or websites, you do so at your own risk.

We are not liable for any harm, damages, losses, fees, financing terms, credit decisions, privacy practices, security incidents, delays, service issues, product issues, or disputes related to your access to or use of third-party websites, products, services, tools, providers, resources, or content. Complaints, claims, concerns, or questions regarding third-party products and services should be directed to the applicable third party.


SECTION 11 - RELATIONSHIP WITH SHOPIFY

ValueFilter Gutter Installation may use Shopify to power portions of our online store, website, checkout, product catalog, customer experience, or related Services. However, any sales, service requests, estimates, installations, purchases, and transactions you make with us are made directly with ValueFilter Gutter Installation unless expressly stated otherwise.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales, estimates, installations, projects, communications, products, or services between you and ValueFilter Gutter Installation, including any injury, damage, delay, property issue, payment issue, financing issue, service issue, or loss resulting from purchased products or services. You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases, service requests, projects, and transactions with ValueFilter Gutter Installation.


SECTION 12 - PRIVACY POLICY, COMMUNICATIONS, CALLS, TEXTS, AND EMAILS

All personal information we collect through the Services is subject to our Privacy Policy, which can be viewed here: https://valuefiltergutter.com/policies/privacy-policy. Certain personal information may also be subject to the privacy policies of Shopify, financing providers, payment processors, scheduling providers, marketing providers, analytics providers, or other third-party tools used to provide the Services.

Because certain portions of the Services may be hosted, processed, or supported by Shopify or other third parties, information you submit may be transmitted to or shared with those providers and other service providers, including providers located in states or countries other than where you reside, in order to provide, improve, process, secure, analyze, market, and support the Services.

By submitting your phone number, email address, quote request, financing request, appointment request, web form, chat message, or other communication to us, you authorize ValueFilter Gutter Installation and its service providers to contact you by phone, text message, email, voicemail, direct mail, or other communication methods regarding your inquiry, estimate, appointment, project, financing, account, payment, warranty, service, marketing, or related matters.

Consent to marketing communications is not required as a condition of purchase where prohibited by law. Message and data rates may apply. You may opt out of marketing text messages by replying STOP, and you may opt out of marketing emails by using the unsubscribe link where provided. Transactional, service, safety, payment, scheduling, warranty, and project-related communications may continue as necessary to provide the Services.


SECTION 13 - PHOTOS, REVIEWS, TESTIMONIALS, AND FEEDBACK

If you submit, upload, post, email, text, or otherwise transmit any ideas, suggestions, feedback, reviews, testimonials, photos, videos, project images, before-and-after images, plans, proposals, comments, or other content, whether through the website, email, text message, review platform, social media, or another method, you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, display, advertise, and create derivative works from such content in any medium for any purpose, including commercial use, marketing, training, quality control, portfolio examples, social media, website content, advertising, and promotion of the Services.

You represent and warrant that:
(i) you own or have all necessary rights to submit the content;
(ii) you have disclosed any compensation or incentives received in connection with your submission;
(iii) the content is accurate and not misleading; and
(iv) the content does not violate these Terms or any third-party rights.

We are under no obligation to maintain your Feedback in confidence, pay compensation for your Feedback, publish your Feedback, or respond to your Feedback.

We may, but have no obligation to, monitor, edit, or remove Feedback or customer content that we determine in our sole discretion is unlawful, offensive, threatening, libelous, defamatory, obscene, misleading, fraudulent, abusive, violates intellectual property rights, violates privacy rights, or otherwise violates these Terms.

You agree that your Feedback will not violate any right of any third party, including copyright, trademark, privacy, publicity, personality, or other personal or proprietary rights. You further agree that your Feedback will not contain unlawful, abusive, obscene, false, malicious, or harmful content, or any computer virus, malware, or harmful code. You may not use a false email address, impersonate another person, or otherwise mislead us or third parties as to the origin of any Feedback.

You are solely responsible for the Feedback you submit and its accuracy. We take no responsibility and assume no liability for Feedback posted by you or any third party.


SECTION 14 - ERRORS, INACCURACIES, AND OMISSIONS

Occasionally there may be information on or in the Services that contains typographical errors, inaccuracies, omissions, outdated information, pricing errors, product errors, availability errors, promotional errors, service description errors, financing examples, appointment availability errors, measurement errors, or other mistakes.

We reserve the right to correct any errors, inaccuracies, or omissions and to change, update, revise, cancel, or refuse any order, estimate, appointment, product, service, promotion, or transaction if any information is inaccurate at any time, without prior notice, including after you have submitted an order, approved an estimate, scheduled an appointment, or made a payment.

We have no obligation to update, amend, or clarify information in the Services, except as required by law.


SECTION 15 - PROHIBITED USES

You may access and use the Services for lawful purposes only. You may not access or use the Services, directly or indirectly:

(a) for any unlawful, fraudulent, abusive, or malicious purpose;
(b) to violate any international, federal, state, county, municipal, or local law, regulation, rule, ordinance, or order;
(c) to infringe upon or violate our intellectual property rights or the intellectual property rights of others;
(d) to harass, abuse, insult, threaten, harm, defame, slander, disparage, intimidate, or harm any employee, contractor, customer, vendor, or other person;
(e) to submit false, misleading, inaccurate, fraudulent, or deceptive information;
(f) to request Services for a property you do not own or are not authorized to act for;
(g) to interfere with scheduled work, field crews, safety procedures, payment processing, financing applications, or customer systems;
(h) to send, knowingly receive, upload, download, use, or reuse any material that does not comply with these Terms;
(i) to transmit or procure the sending of advertising or promotional material, including junk mail, chain letters, spam, or similar solicitations;
(j) to impersonate or attempt to impersonate any person or entity; or
(k) to engage in conduct that restricts or inhibits anyone’s use or enjoyment of the Services, or which, as determined by us, may harm ValueFilter Gutter Installation, Shopify, customers, employees, contractors, vendors, or users of the Services, or expose them to liability.

In addition, you agree not to:

(a) upload or transmit viruses, malware, or harmful code;
(b) reproduce, duplicate, copy, extract, scrape, sell, resell, or exploit any portion of the Services;
(c) collect or track the personal information of others;
(d) spam, phish, pharm, pretext, crawl, scrape, or interfere with the Services;
(e) use any robot, spider, scraper, crawler, data-gathering tool, extraction tool, automated process, AI tool, agentic AI system, or manual process to access, copy, monitor, or exploit the Services without our prior written consent; or
(f) interfere with, bypass, or circumvent any security feature, authorization feature, robot exclusion header, access restriction, CAPTCHA, rate limit, or other measure used to protect or control access to the Services.

We reserve the right to suspend, disable, refuse, cancel, or terminate your access, account, appointment, project, or transaction at any time, without notice, if we determine that you have violated any part of these Terms.


SECTION 16 - AGENTS, AUTOMATED SYSTEMS, AND AI TOOLS

This section applies if you use, allow, enable, or cause the deployment of an Agent to access, use, or interact with any Services. “Agent” means any software, bot, crawler, scraper, AI system, automated tool, or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, any person or entity and that can be executed on behalf of or using a person’s device, account, system, or instructions without direct human supervision.

No Agent may access, use, scrape, copy, monitor, interact with, or transact through the Services unless, at all times, it identifies itself and operates in strict accordance with the requirements below. No Agent may access, use, or interact with the Services if we have requested that the Agent or its operator refrain from doing so.

We may limit, block, throttle, restrict, or modify whether and how any Agent accesses, uses, or interacts with the Services, including through technical measures.

Agents must:
(i) in all HTTP/HTTPS requests, identify that the request is from an Agent and disclose the name of the Agent by including “Agent/[agent name]” in the request’s user-agent string;
(ii) not conceal or obfuscate that access, use, or interactions are from an Agent, including by mimicking human behavior or completing or circumventing CAPTCHAs or anti-bot measures;
(iii) respond truthfully to any question, prompt, or system designed to determine whether interactions are coming from a human or computer; and
(iv) not circumvent any measure intended to block, limit, modify, or control whether and how Agents access, use, or interact with the Services.


SECTION 17 - WARRANTIES, GUARANTEES, AND SERVICE LIMITATIONS

Any warranty, guarantee, clog-free guarantee, lifetime warranty, transferable warranty, workmanship warranty, manufacturer warranty, service warranty, or product warranty applies only if expressly provided in writing by ValueFilter Gutter Installation or the applicable manufacturer.

Warranty coverage, warranty duration, transferability, exclusions, claim procedures, remedies, maintenance requirements, and limitations will be governed by the specific written warranty documents applicable to your project. No employee, salesperson, installer, contractor, advertisement, website content, or verbal statement may modify a written warranty unless the modification is confirmed in writing by an authorized representative of ValueFilter Gutter Installation.

Gutter guards and gutter protection systems are designed to reduce debris entry and improve gutter performance, but they do not eliminate every possible maintenance need or prevent every possible overflow condition. Heavy rain, roof valleys, pine needles, pollen, shingle grit, seed pods, roof debris, ice, improper roof conditions, undersized existing systems, grading issues, or other property-specific conditions may affect performance.

Drainage solutions are designed based on visible conditions and agreed scope. Unless expressly stated in writing, drainage work does not guarantee elimination of all standing water, soil saturation, erosion, foundation movement, crawlspace moisture, basement moisture, or stormwater issues.


SECTION 18 - TERMINATION

We may terminate these Terms or your access to the Services, or any part of them, in our sole discretion at any time without notice. You will remain liable for all amounts due up to and including the date of termination, including approved orders, deposits, materials, labor, change orders, financing obligations, collection costs, and other amounts owed.

The following sections will continue to apply after termination: Intellectual Property; Photos, Reviews, Testimonials, and Feedback; Warranties, Guarantees, and Service Limitations; Termination; Disclaimer of Warranties; Limitation of Liability; Indemnification; Severability; Waiver; Entire Agreement; Assignment; Governing Law; Privacy Policy; and any other provisions that by their nature should survive termination.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO CASE SHALL VALUEFILTER LLC DBA VALUEFILTER GUTTER INSTALLATION, OR OUR MEMBERS, MANAGERS, PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, INSTALLERS, SUPPLIERS, SERVICE PROVIDERS, LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, PROPERTY DAMAGE, WATER DAMAGE, DELAY, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, LOSS OF USE, REPLACEMENT COSTS, DIMINUTION IN VALUE, BUSINESS INTERRUPTION, EMOTIONAL DISTRESS, OR SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, WARRANTY, STATUTE, OR OTHERWISE, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, ANY PRODUCTS OR SERVICES PROCURED USING THE SERVICES, ANY INSTALLATION, ANY PROJECT, ANY DELAY, ANY PROPERTY CONDITION, ANY ERROR OR OMISSION IN CONTENT, OR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF USING THE SERVICES OR ANY CONTENT, PRODUCT, MATERIAL, OR SERVICE MADE AVAILABLE THROUGH THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES, PRODUCTS, INSTALLATION, PROJECT, WEBSITE, ESTIMATE, ORDER, OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO VALUEFILTER GUTTER INSTALLATION FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

You agree to indemnify, defend, and hold harmless ValueFilter LLC dba ValueFilter Gutter Installation, Shopify, and our affiliates, members, managers, partners, officers, directors, employees, agents, contractors, installers, suppliers, licensors, service providers, and representatives from and against any losses, damages, liabilities, claims, demands, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

(2) your violation of any law or the rights of a third party;
(3) your access to or use of the Services;
(4) information, photos, instructions, approvals, or property details you provide;

(6) undisclosed property conditions, underground utilities, private lines, HOA restrictions, access issues, or safety issues; or
(7) your negligence, misconduct, fraud, or misuse of the Services.

We will notify you of any indemnifiable claim, provided that a failure to promptly notify you will not relieve you of your obligations unless you are materially prejudiced. We may control the defense and settlement of any claim at your expense, including choice of counsel, but will not settle any claim requiring non-monetary obligations from you without your consent, which may not be unreasonably withheld. You agree to cooperate in the defense of indemnified claims, including by providing relevant documents, information, and access.


SECTION 22 - SEVERABILITY

If any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, that provision shall be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms of Service. Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

In the event of a conflict between these Terms and a signed written project agreement between you and ValueFilter Gutter Installation, the signed written project agreement will control for that specific project.

You may not delegate, transfer, or assign these Terms or any of your rights or obligations under these Terms without our prior written consent. Any attempted assignment without our consent will be null and void.

We may transfer, assign, subcontract, or delegate these Terms and our rights and obligations without your consent or notice, including to affiliates, contractors, installers, service providers, successors, assigns, purchasers, or in connection with a merger, acquisition, sale, restructuring, or transfer of assets.

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to conflict-of-law principles.

To the fullest extent permitted by law, you and ValueFilter Gutter Installation agree that any dispute, claim, lawsuit, or proceeding arising out of or related to these Terms, the Services, any estimate, any project, any product, any installation, any payment, any warranty, or any transaction with ValueFilter Gutter Installation shall be brought in the state or federal courts located in South Carolina, and you consent to the personal jurisdiction and venue of such courts.

Nothing in this section limits our right to seek payment, collection, lien rights, injunctive relief, emergency relief, or other remedies in any jurisdiction where such relief is available or appropriate.
